Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using Dialsheet.io ("the Service"), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms and conditions. If you do not agree, you must not use the Service.

2. Nature of Service

Dialsheet.io is a SaaS workflow interface application. WE ARE NOT A TELECOMMUNICATIONS CARRIER.

Dialsheet.io facilitates the organization and management of data to execute instructions via your own third-party telephony accounts (e.g., Twilio). You acknowledge that:

  • 2.1. You are the sole initiator of all communications.
  • 2.2. Dialsheet.io does not originate calls, provide phone numbers, or control the carriage of voice traffic.
  • 2.3. You maintain a direct contractual relationship with your telephony provider, and are responsible for all fees, compliance rules, and restrictions imposed by them.

3. User Responsibilities & Compliance

You agree to use the Service solely for lawful business purposes. You explicitly assume full responsibility for compliance with all applicable laws, including but not limited to:

  • The Telephone Consumer Protection Act (TCPA)
  • The Telemarketing Sales Rule (TSR)
  • The Controlling the Assault of Non-Solicited Pornography And Marketing (CAN-SPAM) Act
  • GDPR, CCPA, and other data privacy regulations
  • National Do Not Call (DNC) registries

You warrant that:

  • 3.1. You have obtained prior express written consent (PEWC) for all contacts uploaded to the Service.
  • 3.2. You will not use the Service for cold calling, unsolicited marketing ("robocalling"), or calling residential lines without established business relationships.
  • 3.3. You will honor all opt-out requests immediately.

4. Account Security & Verification

  • 4.1. Access is restricted to verified business entities.
  • 4.2. You agree to provide accurate, current, and complete information during registration.
  • 4.3. Dialsheet.io reserves the right to verify your identity and business status at any time. Failure to provide requested documentation (e.g., Business Registration, Proof of Identity) will result in immediate termination.

5. Fees and Payment

  • 5.1. Subscription Fees: Fees for Dialsheet.io platform access are billed in advance. All fees are non-refundable.
  • 5.2. Carrier Fees: You are solely responsible for all charges incurred on your linked telephony accounts (e.g., Twilio). Dialsheet.io is not liable for call costs, even in the event of software error, “runaway” usage, or hacked accounts.

6. Termination and Suspension

  • 6.1. For Convenience: You may cancel your account at any time.
  • 6.2. For Cause (Abuse): Dialsheet.io reserves the right to immediately suspend or terminate your account without notice and without refund if we determine, at our sole discretion, that:
    • You are engaged in "spamming" or illegal solicitation.
    • Your calling patterns pose a risk to the Service’s reputation or carrier relationships.
    • You have violated the Acceptable Use Policy.

7. Indemnification

You agree to defend, indemnify, and hold harmless Dialsheet.io, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with:

  • 7.1. Your access to or use of the Service.
  • 7.2. Your violation of these Terms.
  • 7.3. Your violation of any third-party right, including intellectual property or privacy rights.
  • 7.4. Any claim that your use of the Service violated the TCPA, TSR, or other telecommunications laws.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIALESHEET.IO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. IN NO EVENT SHALL DIALESHEET.IO'S AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID DIALESHEET.IO IN THE PAST THREE MONTHS.

THERE IS NO WARRANTY THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED. YOU ACCEPT THE SERVICE "AS IS".

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

10. Class Action Waiver

YOU AGREE THAT YOU MAY ONLY RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS, AND MAY NOT BRING A CLAIM AS A PLAINTIFF OR A CLASS MEMBER IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
